On 14 November 2022, the Board of the Croatian Financial Services Supervisory Agency held its 37th meeting and adopted the following decisions of public interest:
- Decision granting authorisation to the company Eurizon Asset Management Croatia društvo s ograničenom odgovornošću za upravljanje investicijskim fondovima, with its registered office in Zagreb, Ulica Grada Vukovara 271, OIB: 73073960573, LEI: 549300DU2TJ72XCUUN84, for the establishment and management of Eurizon HR Target 2025 II fond, open-ended investment fund with public offering, which includes the approval of the prospectus and rules of the Fund, as well as the approval for the selection of the depositary for the Fund – the company PRIVREDNA BANKA ZAGREB – DIONIČKO DRUŠTVO, with its registered office in Zagreb, Radnička cesta 50, OIB: 02535697732, LEI: 549300ZHFZ4CSK7VS460; and granting exception to invest up to 100% of the net assets of Eurizon HR Target 2025 II fond, open-ended investment fund with public offering, in transferable securities and money market instruments issued or guaranteed by the Republic of Italy
- Decision granting authorisation to the company ERSTE d.o.o. za upravljanje obveznim i dobrovoljnim mirovinskim fondovima, with its registered office in Zagreb, Ivana Lučića 2/A, OIB: 49659289650, LEI: 529900JNYHUFUO8D4Z14, for the establishment and management of ARENA MUDRA MIROVINA ZATVORENI DOBROVOLJNI MIROVINSKI FOND (closed-ended voluntary pension fund); granting approval for the prospectus of ARENA MUDRA MIROVINA ZATVORENI DOBROVOLJNI MIROVINSKI FOND (closed-ended voluntary pension fund); and granting approval for the statue of ARENA MUDRA MIROVINA ZATVORENI DOBROVOLJNI MIROVINSKI FOND (closed-ended voluntary pension fund)
- Decision granting approval to the company ERSTE d.o.o. društvo za upravljanje obveznim i dobrovoljnim mirovinskim fondovima, with its registered office in Zagreb, Ulica Ivana Lučića 2A, OIB: 49659289650, LEI: 529900JNYHUFUO8D4Z14, for amendments to the Depositary Agreement with respect to voluntary pension funds concluded on 5 October 2022 with the depositary – OTP bank d.d. with its registered office in Split, Domovinskog rata 61, OIB: 52508873833
- Decision determining that the company Mobil Leasing d.o.o., Zagreb, Kovinska ulica 5, OIB: 17080997510, has eliminated the illegalities and irregularities whose elimination was ordered by Hanfa’s Decision of 21 June 2022; and terminating the off-site examination relating to the calculation of fees
- Decision granting approval to the company MERKUR OSIGURANJE d.d., Ulica Ljudevita Posavskog 31, Zagreb, OIB: 08937835435, to the company Merkur International Holding Aktiengesellschaft, Graz, Republic of Austria, OIB: 68455756121; to the company Merkur Versicherung Aktiengeselischaft, Graz, Republic of Austria and to the company Merkur Wechselseitige Versicherungsanstalt Vermogensverwaltung, Graz, Republic of Austria to indirectly acquire a qualifying holding in the company Wüstenrot životno osiguranje d.d., Zagreb, Heinzelova 33a, OIB: 10931821267, LEI: 74780000X00H92A3R667, reaching 100% of the initial company and voting rights of that company
- Decision granting approval to Martin Ohde to perform the function of a member of the Supervisory Board of the insurance company MERKUR OSIGURANJE d.d., Ulica kneza Ljudevita Posavskog 31, Zagreb OIB: 08937835435, LEI: 529900S781HTTWM6KC58, for a term of office lasting from 2 March 2023 to 1 March 2027

- Decision granting approval to the company TDR CAPITAL LLP with its registered office in London W21U 2EU, 20 Bentinck Street, United Kingdom, entered in the Register of Companies of England and Wales under registration number 0C 302604 and to the company LINCOLN HOLDING S.A.R.L. with its registered office in Luxembourg, rue Eugene Ruppert 20, Luxembourg, entered in the Luxembourg Commercial Register under registration number B 195019, to indirectly acquire a qualifying holding in the company ALD Automotive d.o.o. with its registered office in Veliko Polje, Betinska 1, Zagreb, OIB: 45116797997, reaching 12.21% of the initial capital and voting rights of that company; the proposed acquisition referred to in the operative part of this decision has to be carried out within six (6) months as of the day of the enforcement of this decision
- Decision granting authorisation to conduct insurance distribution business to the pre-company POLČIĆ ZASTUPANJE društvo s ograničenom odgovornošću za zastupanje u osiguranju, with its registered office in Pula
- Decision on compliance with the Guidelines on the data collection exercises regarding high earners under Directive 2013/36/EU and under Directive (EU) 2019/2034 (EBA/GL/2022/08)
