CMVM publishes decision on the concerted exercise of dominant influence over Grupo Media Capital, by Pluris Investments and Vertix

Today, the CMVM published the final decision pertaining to the concerted exercise of influence over Grupo Media Captail, SGPS, S.A. (Media Capital). 

The CMVM decided to keep the sense of the draft decision released on 9 October 2020, after analysing the respective hearing of interested parties since it is established that there was concerted exercise of dominant influence between Vertix, SGPS, S.A. and Pluris Investments, S.A. over Media Capital until the sale of the stake of Vertix, SGPS, S.A. on 3 November 2020.

As a result, the CMVM determines, pursuant to the terms of Article 187(1) of the Securities Code, the disclosure of a preliminary announcement of a mandatory takeover bid of Pluris on all Media Capital shares that it does not hold, within a maximum period of 5 working days.
